Burger Compress End User License Agreement (Proprietary EULA)
Important Notice
This End User License Agreement (the “EULA”) is a legal agreement between you and Visionular, Inc. for the Burger Compress (汉堡压缩) desktop software and updates. The Software is currently provided without charge, but it is not open-source software. You receive a limited license to use it, not ownership of the Software or source code.
By installing, copying, launching, or using the Software, you accept this EULA. Read the license restrictions, termination, disclaimers, liability limitations, and dispute provisions carefully. If you do not agree, do not install or use the Software and delete copies under your control. This EULA does not limit non-waivable consumer rights.
1. Parties and Related Documents
The licensor is:
- Visionular, Inc. (“Visionular,” “we,” “us,” or “our”)
- 280 2nd Street, Los Altos, CA 94022, USA
- Email: info@visionular.com
- Telephone: +1 (650) 279-7578
“Software” means Burger Compress object code, installer, bundled assets, documentation, patches, upgrades, and replacement versions. The website, account, template synchronization, update, and support services are also governed by the Burger Compress Terms of Service. Personal-information processing is governed by the Burger Compress Privacy Policy. Third-party components are governed as described in Section 9.
2. License Grant
Subject to this EULA, Visionular grants you a limited, non-exclusive, non-transferable except as expressly permitted here, non-sublicensable, revocable license to:
- download, install, and run the Software on compatible Windows devices that you own or lawfully control;
- process images and video you have the right to process for personal, educational, creative, internal-business, or lawful commercial work;
- make one Software copy solely for backup or disaster recovery; and
- use, publish, and commercially exploit Software output in which you lawfully hold the necessary rights.
Current free guest functions do not limit the number of local processing jobs. Current online accounts support up to five active signed-in devices. That device rule governs account sessions and does not change the local guest license for installed copies. A future paid edition's device, user, organization, and feature scope will be stated at checkout or in an order.
This is a license to use the Software, not a sale. Visionular and its licensors reserve every right not expressly granted.
3. Personal, Commercial, and Organizational Use
You may use output from the current free edition for lawful commercial activity without paying a royalty to Visionular solely because the output is commercial. This license does not grant rights in the input, third-party trademarks, a person's likeness, music, fonts, codec patents, or other third-party material.
An organization may permit employees and contractors to use the Software on devices it owns or controls if it ensures their compliance. Unless an order expressly permits it, you may not use shared accounts, virtual desktops, hosted servers, or another arrangement to offer the Software as a service, processing bureau, or concurrent pool to unrelated third parties.
4. License Restrictions
Except to the extent expressly permitted by non-waivable law, you must not, and must not enable another person to:
- copy the Software other than installations and the backup allowed by Section 2;
- sell, rent, lend, sublicense, distribute, publicly host, mirror, repackage, or otherwise provide the Software or installer to a third party;
- modify, translate, adapt, or create a derivative program from the Software;
- reverse engineer, decompile, disassemble, decrypt, or extract source code, models, algorithms, keys, or non-public interfaces;
- bypass, disable, or defeat licensing, signatures, updates, devices, security, access, integrity, or usage controls;
- use automation to make bulk calls to a non-public interface or scan, attack, or interfere with the Software, online Services, or another user;
- remove or alter copyright, trademark, patent, attribution, or other rights notices;
- use the Software to create or distribute malware or conduct unlawful surveillance, infringement, fraud, harassment, exploitation, or another illegal act;
- misleadingly publish benchmark results or claim a Visionular partnership, certification, or endorsement; or
- use the Software to develop or train a competing product whose principal target is copying the Software's core function, non-public technology, or interface, except for lawful independent research and interoperability.
If law expressly permits reverse engineering for interoperability, security research, or another purpose and prohibits contractual exclusion, limit it to the minimum necessary for that lawful purpose. Where reasonably practicable and not destructive of legitimate research, first contact us for interoperability information or coordinated security disclosure.
5. Installation, Requirements, and Administrative Rights
The Software supports only systems and architectures identified in release materials. The installer may request permission to create program files, shortcuts, uninstall records, and update resources. You must have the device owner's or administrator's authority to install it.
You may cancel an interactive installation and remove the Software through an operating-system or installer uninstall entry. To avoid accidental loss, uninstall may retain preferences, history, or templates by default. If an option to delete user data is offered, selecting it may permanently remove that local data. Uninstalling does not itself close an account or delete cloud templates.
6. Source Files, Output, and Your Responsibilities
The Software does not overwrite a source by default, but processing can fail or produce unexpected output because of source corruption, insufficient storage, system interruption, format differences, or chosen settings. You must:
- maintain an independent backup of important source files and projects;
- hold the right to copy, convert, compress, and use input;
- inspect output before deleting a source, publishing, or production use; and
- comply with copyright, publicity, privacy, trademark, contract, export, and other applicable law.
Visionular does not acquire ownership of local media or output. Whether output is protectable or owned and whether a third-party license is required depend on law and the source material.
7. Online Accounts, Personal Templates, and Analytics
An account is not required for local core functions. After sign-in, the Software may provide advanced template settings, personal-template synchronization, and device management. Media, thumbnails, file names, paths, local history, and media metadata are not uploaded merely because of an account.
After you enable optional analytics, the Software may send limited events and a random installation identifier described in the Privacy Policy for reliability and usage analysis. You may withdraw consent through privacy settings. The Privacy Policy governs categories, purposes, periods, recipients, international transfers, and rights.
8. Updates and Versions
The Software may check for, download, or prompt to install updates according to your settings or a distribution platform's rules. An update may add, modify, or remove a feature and may repair a security issue or preserve online compatibility. Once installed, it is part of the “Software” and is governed by this EULA unless accompanied by new license terms.
An old version may become unsupported because of a vulnerability, operating-system change, or online interface update. We will describe important changes where reasonably practicable. Except for security, legal, or emergency reasons, a change materially affecting a paid core right is handled under the Terms of Service and purchase terms.
9. Third-Party Components, Open Source, and System Extensions
The Software may include FFmpeg, GStreamer, codec libraries, and other open-source or third-party components. Applicable copyright notices and license terms are supplied with the Software or in a third-party-notices location. Those licenses govern the corresponding components directly. If they conflict with this EULA, they control for that component. This EULA does not restrict a right to source code or redistribution granted by an applicable open-source license.
Some formats may depend on a system extension supplied by Microsoft or another provider. The third party independently licenses and supports its extension, which is not part of this Software license. You may need to obtain it lawfully and accept its terms.
10. Codecs, Patents, and Content Licenses
Media containers and codecs may be subject in some countries or uses to patent-pool, royalty, broadcast, public-performance, or commercial-distribution licenses. Providing technical capability or interoperability does not grant you a third-party patent, content, or distribution license. Assess and obtain licenses appropriate to your territory, use, volume, and business model.
This section does not reduce a right expressly granted by a component license and does not state that every use requires a separate license.
11. Ownership and Reservation of Rights
Visionular or its licensors own the Software object code, architecture, interface, design, documentation, marks, proprietary algorithms, updates, and related intellectual property. Do not register, use, or apply for a mark identical or confusingly similar to Visionular, Burger Compress, or 汉堡压缩.
Visionular may use, modify, copy, implement, and sublicense non-confidential feedback you voluntarily submit under a worldwide, perpetual, irrevocable, royalty-free license. This does not cover your media, personal-template content, or protected personal information.
12. Paid Licenses
The Software is currently free. Visionular may later offer subscriptions, perpetual licenses, team, or enterprise editions, but this EULA alone never authorizes a charge. The term, device, user, feature, price, and support scope of a paid license is stated at checkout, in an order, or in a separately signed agreement.
After a paid right expires or terminates, the Software may revert to then-available free functions. It will not lock your local source files without clear advance notice. The Terms of Service, checkout, platform rules, and applicable law govern subscriptions, automatic renewal, cancellation, and refunds.
13. Termination
This EULA starts when you first install, copy, or use the Software and continues until terminated. You may terminate at any time by uninstalling and deleting copies under your control.
Visionular may terminate or limit the relevant license if you materially breach and do not cure within a reasonable period after notice, or if use creates an urgent security threat, is clearly unlawful, or infringes another person's rights. Immediate action without a cure period is limited to legal, security, and infringement risks that require it.
After termination, stop using the terminated portion and delete affected copies. Output lawfully created before termination does not become Visionular property. Restrictions, ownership, disclaimers, liability, and disputes survive as appropriate. The Terms and Privacy Policy govern accounts and personal information.
14. Support and Availability
Unless an order or separately signed agreement says otherwise, free Software has no guaranteed service level, response time, maintenance period, or roadmap. We may choose to provide documentation, updates, community support, or email support.
The Software is not designed for nuclear facilities, aviation navigation, life support, emergency communications, or another high-risk control system whose failure could directly cause death, personal injury, or major environmental damage. Do not use it as the sole or critical controller in such a system.
15. Warranty Disclaimer
To the maximum extent permitted by law, the Software is licensed “as is” and “as available,” without additional warranties of error-free or uninterrupted operation, a particular quality, compression ratio, speed, merchantability, fitness for a particular purpose, title, or non-infringement. Examples, estimates, and previews do not guarantee final output.
This section does not exclude a warranty, product-quality responsibility, or consumer right that applicable law does not permit us to exclude, and does not change an express written warranty in an order.
16. Limitation of Liability
To the maximum extent permitted by law, Visionular is not liable for indirect, incidental, special, or punitive loss, or reasonably avoidable loss of profit, goodwill, opportunity, media, or data.
For a business or professional user, Visionular's aggregate liability arising from the Software or EULA is capped at fees actually paid for the affected Software license in the 12 months before the event giving rise to the claim. If the Software was entirely free, the cap is USD 100 or a higher minimum required by law.
These exclusions and caps do not apply to Visionular's willful misconduct or gross negligence, fraud, personal injury, a violation of non-excludable privacy or consumer rights, or another liability that law does not permit us to exclude or limit. Mandatory consumer remedies prevail.
17. Export Controls
The Software may be subject to US and other export, re-export, sanctions, and import laws. Do not provide the Software to a territory or person or for an end use prohibited by applicable law. You are not required to comply with a contractual requirement that would violate law binding on you.
18. Governing Law and Disputes
This EULA is governed by California law, excluding conflict-of-laws rules. If you are a consumer, this choice does not deprive you of non-waivable protection under the law of your habitual residence.
The parties will first attempt good-faith resolution through info@visionular.com, ordinarily for 30 days. If unresolved, a business user agrees to exclusive jurisdiction in the state or federal courts of Santa Clara County, California. A consumer may seek relief in any court, consumer body, or regulator competent under applicable law. Either party may seek interim relief for intellectual- property infringement or an urgent security risk.
19. General
- This EULA, the Terms, Privacy Policy, applicable order, and component licenses form the complete agreement on their respective subject matter.
- An invalid provision is minimally adjusted where lawful; the remainder remains effective.
- Delay in exercising a right is not a waiver.
- You may not assign this license without Visionular's consent. If law permits permanent transfer with a device, transfer all copies, stop using them, and require the recipient to accept this EULA. Visionular may assign the agreement in a merger, restructuring, or business transfer while protecting consumer rights as required.
- Chinese and English versions are intended to be materially consistent. Chinese is the primary notice for mainland-China users and English elsewhere, subject to mandatory law.
